Brand License Agreement
Exclusive One-Time License Agreement for Use of Trademarks, Logos, and Branding Assets
BY CLICKING "ACCEPT," DOWNLOADING, ACCESSING, OR USING ANY MATERIALS PROVIDED BY TIX FOR TEACHERS ("TFT"), YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT.
1. Exclusive Ownership of Intellectual Property
All trademarks, service marks, trade names, logos, taglines, branding elements, graphics, and related materials (collectively, the "Brand Assets") made available by Tix For Teachers ("TFT") are and shall remain the exclusive property of Tix For Teachers.
TFT retains all rights, title, and interest worldwide in and to its Brand Assets, including but not limited to all rights under:
- U.S. and international trademark law
- Copyright law
- Trade dress protection
- Common law rights
- Any other applicable intellectual property laws
No rights are granted except as expressly stated in this Agreement.
2. Limited, Revocable License
TFT grants the User a limited, non-exclusive, non-transferable, revocable, one-time license to use TFT Brand Assets solely for the purpose of identifying and promoting Tix For Teachers and its mission.
This license:
- Does not transfer ownership of any kind
- Does not create any partnership, agency, or joint venture
- May be revoked at any time at TFT's sole discretion
- Is conditioned upon full compliance with this Agreement
3. Acceptable Use
Users may use Brand Assets only in the exact form provided by TFT and only for legitimate reference to Tix For Teachers.
Users agree that they shall NOT:
- Modify, edit, distort, or alter any Brand Asset
- Create derivative works based on TFT Brand Assets
- Use Brand Assets in any misleading, false, or implied endorsement context
- Use Brand Assets in any way that suggests ownership or co-branding
- Register or attempt to register any confusingly similar marks
4. Mandatory Attribution
Any approved use of Brand Assets must include the following attribution:
"Courtesy of Tix For Teachers."
5. Internet and Digital Use Requirements
When Brand Assets are displayed online:
- They must link directly to tixforteachers.com
- The link must be clearly visible and adjacent to the Brand Asset
- Brand Assets may not be used in isolation in a way that implies independent identity
6. Prohibited Uses
Brand Assets may NOT be used in connection with content that:
- Is unlawful, fraudulent, defamatory, or misleading
- Promotes violence, discrimination, hate, or harassment
- Contains sexually explicit material or exploitation of minors
- Encourages illegal activity or misuse of information systems
- Involves unauthorized commercial promotion, advertising, or fundraising
- Violates any applicable local, state, or federal law
7. No Challenge to Ownership
User agrees that they will not:
- Contest TFT's ownership of its Brand Assets
- Challenge the validity of TFT's trademarks or related rights
- Assist any third party in doing so
8. Indemnification
User agrees to indemnify, defend, and hold harmless Tix For Teachers, including its officers, directors, employees, contractors, and affiliates, from any claims, damages, liabilities, losses, or expenses arising out of:
- User's use of Brand Assets
- Any breach of this Agreement
- Any unauthorized or improper use of Brand Assets
9. Disclaimer of Liability
All Brand Assets are provided "AS IS" without warranties of any kind, express or implied.
Tix For Teachers shall not be liable for any damages arising from use or inability to use Brand Assets, including but not limited to direct, indirect, incidental, or consequential damages.
10. Termination
This license may be terminated immediately by Tix For Teachers at any time.
Upon termination, the User must:
- Immediately cease all use of Brand Assets
- Remove Brand Assets from all platforms and materials
- Destroy all copies in their possession or control
11. Revocation and Changes
Tix For Teachers reserves the right to:
- Modify this Agreement at any time
- Revoke any license granted under this Agreement
- Replace or update Brand Assets at its sole discretion
Continued use after changes constitutes acceptance.
12. Governing Law
This Agreement shall be governed exclusively by the laws of the State of Arizona, United States, without regard to conflict of law principles.
Any disputes shall be resolved exclusively in the state or federal courts located in Arizona.
13. Entire Agreement
This Agreement constitutes the entire agreement between the User and Tix For Teachers regarding Brand Asset usage and supersedes any prior agreements or understandings.
